The San Francisco Water Department (SFWD) provides water on a retail basis to the City and on a wholesale basis to approximately thirty cities and water districts on the San Francisco peninsula. At the present time, these suburban users receive approximately 60-63% of SFWD water. This paper describes the recent history of San Francisco's wholesale water rates, and how a lengthy lawsuit between San Francisco and its suburban wholesale water customers was settled. It first describes the background of the wholesale rate controversy, then sets forth the history of the Palo Alto v. San Francisco lawsuit, and finally analyzes the current wholesale agreement between the suburbs and San Francisco. Based on the San Francisco experience, and the first seven years of operating under the present contract, this paper concludes with suggestions of things to do and avoid in negotiating and drafting a wholesale rate agreement.
